Clarivue AI is developed and published by SkillConnect Technologies Inc.

1. AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," the "Customer") and SkillConnect Technologies Inc. ("SkillConnect," "we," "us," or "our"), governing your access to and use of the Clarivue platform, website (https://clarivue.io), software, and related services (collectively, the "Services").

By creating an account, clicking "I Accept," or otherwise accessing or using the Services, you agree to be bound by these Terms, including our Privacy Policy and Data Processing Agreement. If you do not agree, you may not access or use the Services.

We may revise these Terms at any time by updating the "Last Updated" date. Continued use of the Services following changes constitutes your acceptance of the revised Terms.

The Services are intended only for users who are 18 years or older. If you are under 18, you may not register for or use the Services.

2. INTELLECTUAL PROPERTY

Unless otherwise indicated, the Services and their content, features, and functionality are owned by SkillConnect Technologies Inc. and are protected by applicable intellectual property laws. This includes all software, designs, graphics, text, logos, and trademarks ("Content").

You are granted a limited, non-exclusive license to use the Services solely for lawful purposes. You may not copy, distribute, reverse-engineer, or otherwise exploit any part of the Services without prior written consent.

By using the Services, you grant SkillConnect permission to include your company name and logo on our customer list or marketing materials, unless otherwise requested.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

• You have legal capacity and authority to agree to these Terms.
• You are not a minor in your jurisdiction.
• You will not use automated tools to access the Services.
• Your use of the Services complies with all laws and regulations.

We reserve the right to suspend or terminate your account if any information is false or if you violate these Terms.

4. ACCOUNTS AND REGISTRATION

You must register for an account to access most features. You are responsible for maintaining the security of your credentials and any activity on your account.

If your account is linked to an organization (e.g., via email domain), that organization may control or revoke your access. SkillConnect reserves the right to manage such access accordingly.

5. PAYMENT TERMS

Certain features may require payment. All pricing is listed in USD and is non-refundable. We reserve the right to modify pricing with notice.

By subscribing, you authorize SkillConnect and its third-party payment processors to charge fees and taxes to your designated payment method.

6. SUBSCRIPTION SERVICES

Some Services operate on a subscription basis and auto-renew unless canceled. Subscription terms are outlined during sign-up and in your account dashboard.

You can cancel subscriptions anytime before the next billing cycle. SkillConnect reserves the right to suspend accounts for unpaid balances.

7. PROHIBITED ACTIVITIES

You agree not to:

• Use the Services in violation of law
• Interfere with security or access controls
• Upload malicious code or spam
• Harass or impersonate other users
• Copy, resell, or scrape data without authorization

SkillConnect may take legal or technical action against violations, including banning users or reporting illegal activity.

8. USER CONTENT

You retain ownership of any content you upload ("User Content"), including text, recordings, or data. You grant SkillConnect a license to process and use this content solely to deliver the Services.

You are responsible for ensuring you have the right to upload or share all content, and for complying with privacy laws in your jurisdiction.

9. FEEDBACK

Any feedback or suggestions you submit may be used by SkillConnect without obligation or compensation. You waive rights to such submissions.

10. TERMINATION

You may terminate your account at any time. We may suspend or terminate your account for violating these Terms or for unpaid fees.

Upon termination, your license to use the Services ends and you must stop accessing your account. Any outstanding payments remain due.

11. SERVICE AVAILABILITY

We aim for high uptime but do not guarantee the Services will always be available. We may conduct maintenance or experience outages. We are not liable for temporary unavailability.

12. LIMITATION OF LIABILITY

To the fullest extent permitted by law, SkillConnect will not be liable for indirect, incidental, or consequential damages related to your use of the Services.

13. INDEMNIFICATION

You agree to indemnify and hold SkillConnect harmless from claims arising from your content, account usage, or violations of these Terms.

14. PRIVACY AND DATA

All data handling is governed by our Privacy Policy and Data Processing Agreement. You retain ownership of personal data you upload. SkillConnect may use de-identified and aggregated data to improve the Services.

15. GOVERNING LAW & DISPUTES

These Terms are governed by the laws of Nova Scotia, Canada. Courts located in Nova Scotia shall have exclusive jurisdiction, except where applicable law provides otherwise.

16. ELECTRONIC COMMUNICATION

By using the Services, you consent to receiving electronic communications. You agree that electronic notices and agreements are legally binding.
